These Terms of Service (“Terms”) govern your access to and use of the website, public content and public-facing AI agent experiences provided by Simple Plain AI Pte. Ltd., trading as SimplePlainAI (“SimplePlainAI”, “we”, “us” or “our”).
By accessing or using the website or a public-facing SimplePlainAI service, you agree to these Terms. If you do not agree, do not use the relevant website or service.
1. About SimplePlainAI
SimplePlainAI is operated by Simple Plain AI Pte. Ltd., a Singapore company with UEN 202624219M and registered address at 2 Venture Drive, #14-02, Vision Exchange, Singapore 608526.
We design and configure AI agents for defined business workflows, including enquiry response, lead research and prioritisation, meeting preparation, drafting, follow-up, onboarding and renewal support.
2. Scope of these Terms
These Terms apply to our public website, assessments, demonstrations, public-facing AI agent experiences and other services made available without a separate signed agreement.
Paid implementations, subscriptions, infrastructure work and client-specific services are governed by a separate written agreement. If a separately signed agreement conflicts with these Terms, the signed agreement prevails for that engagement.
3. Eligibility and authority
You must have legal capacity to accept these Terms. If you use the website or a service on behalf of an organisation, you confirm that you are authorised to act for that organisation and to bind it where applicable.
4. Website information
Website content is provided for general information about SimplePlainAI and its services. It is not a binding offer, guarantee or commitment to provide a particular feature, integration, timeline, result or price.
Descriptions, demonstrations and examples illustrate possible workflows. Actual functionality depends on the agreed configuration, data, systems, permissions, infrastructure and third-party services.
5. Enquiries, assessments and demonstrations
You may submit an enquiry, book a call, complete an AI Competency Report or request a demonstration. Submitting information does not create a client relationship or require us to accept an engagement.
Assessment results and demonstrations are informational and may rely on answers, assumptions, sample data or illustrative scenarios. They are not professional advice or a guarantee of business outcomes.
6. AI-generated content
Our services may use artificial intelligence to generate, classify, summarise, extract, rank or otherwise process information. AI-generated content may be incomplete, inaccurate, outdated or unsuitable for a particular purpose.
You must apply appropriate judgement and human review before relying on an output for an important communication, commitment or decision. Our services are not a substitute for professional advice or responsible human oversight.
Further information about AI use and limitations may be provided in our AI Service Notice where published.
7. WhatsApp and other third-party channels
An AI agent may operate through WhatsApp, email, a website, a CRM or another third-party platform. Use of those platforms remains subject to the relevant provider’s terms, policies, permissions and technical limitations.
WhatsApp is a product of Meta Platforms, Inc. SimplePlainAI is an independent technology provider. References to WhatsApp or Meta do not imply endorsement, certification or an official partnership unless expressly stated.
We are not responsible for delays, restrictions, feature changes, suspension, discontinuation or outages caused by a third-party platform.
8. Acceptable use
You must not use the website or a SimplePlainAI service to:
- Break any applicable law, regulation, court order or third-party right.
- Send unlawful, deceptive, abusive, discriminatory, harassing, defamatory or unsolicited content.
- Impersonate another person or misrepresent your identity, authority or affiliation.
- Upload malware, interfere with security, probe vulnerabilities or disrupt systems or services.
- Attempt to obtain unauthorised access to accounts, data, prompts, configurations, source code or infrastructure.
- Reverse engineer, copy, extract or reproduce our agents, templates, workflows or other proprietary materials except where law expressly permits.
- Use an agent as the sole basis for a high-impact decision affecting employment, credit, insurance, healthcare, legal rights or essential services without appropriate authority, safeguards and human review.
- Use the service to develop or support a competing offering through unauthorised copying or extraction.
9. Information you provide
You are responsible for information, files, instructions and materials you submit. You confirm that you have the rights, permissions and lawful authority required to provide and use them.
You must not submit passwords, authentication codes, complete payment-card information, government identification numbers, medical information or other sensitive information unless it is specifically requested through an appropriate process.
10. Personal data
Our handling of personal data is described in our Privacy Policy. Where we process personal data for a paying client, the applicable client agreement and Data Protection Addendum also apply.
A business using an agent remains responsible for its own privacy notices, lawful authority, customer communications and instructions to us.
11. Intellectual property
SimplePlainAI and its licensors retain all rights in the website, agents, designs, prompts, templates, workflows, source code, automation structures, methods, branding, content and reusable components, except for materials owned by a client or another third party.
We grant you a limited, revocable, non-exclusive and non-transferable permission to access and use the public website and public-facing services for their intended lawful purpose. No ownership rights are transferred.
The SimplePlainAI name, logo and branding may not be used without prior written permission, except for accurate nominative references permitted by law.
12. Feedback
If you voluntarily provide suggestions or feedback, we may use them to improve our services without restriction or payment, provided we do not disclose your confidential information or personal data contrary to applicable obligations.
13. Third-party links and services
Our website may link to or embed third-party websites, content and services. We do not control them and are not responsible for their availability, security, content or practices. Review the applicable third-party terms and privacy notices before using them.
14. Service availability and changes
We may update, modify, restrict, suspend or discontinue public website content or a public-facing feature. We do not guarantee uninterrupted, error-free or secure availability.
Availability may be affected by maintenance, internet connectivity, user systems, account permissions, third-party services and events outside our reasonable control.
15. No professional advice
Unless expressly agreed in writing, website content and AI-generated output do not constitute legal, medical, financial, accounting, employment, regulatory or other professional advice. Obtain advice from an appropriately qualified professional where required.
16. Disclaimers
To the extent permitted by law, the public website and public-facing services are provided on an “as available” basis. We do not guarantee that content or outputs will be complete, accurate, current, uninterrupted, error-free or suitable for every purpose.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Limitation of liability
To the extent permitted by law, SimplePlainAI is not liable for indirect, incidental, special or consequential loss, or loss of profit, revenue, opportunity, goodwill, anticipated savings or data, arising from use of or inability to use the public website or a public-facing service.
For free public website use or a free public-facing experience, SimplePlainAI’s aggregate liability arising from that use will not exceed SGD 100. Liability for paid client services is governed by the applicable signed agreement.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.
18. Suspension and termination
We may restrict or terminate access to a public-facing service where we reasonably believe there is unlawful use, abuse, a security risk, infringement, breach of these Terms or material risk to SimplePlainAI, a client, a user or a third party.
Provisions concerning intellectual property, disclaimers, liability, governing law and other terms intended by their nature to survive will continue after termination.
19. Changes to these Terms
We may update these Terms to reflect changes to our website, services, technology, legal obligations or operating practices. The latest version will be published on this page with its effective date. Continued use after an update constitutes acceptance of the revised Terms where permitted by law.
20. Governing law and contact
These Terms are governed by Singapore law. The courts of Singapore have exclusive jurisdiction over disputes arising from these Terms, subject to any rights that cannot lawfully be restricted.
